Advised international developer client with respect to redevelopment of former
foundry property into entertainment center, including negotiation of an environmental insurance program to back up contractual risk allocation mechanisms.
Advised national development client and supervised remediation in connection
with redevelopment of contaminated properties for retail center development.
Negotiated multimillion dollar cleanup contract on behalf of remediation contractor
client for, and advised client regarding implementation of cleanup of, former
industrial area for sports arena.
Negotiated transfer of enforcement action to voluntary cleanup program for industrial
facility leased by client, and negotiated subsequent indemnification and related
environmental provisions in connection with purchase of facility and retention
of ongoing remediation obligations.
Served as environmental counsel in acquisition of 110,000 bpd complex petroleum
refinery in Midwest by independent oil refining company; planned, and consulted
on, all phases of due diligence and advised client on related transactional and
securities matters.
Served as environmental counsel in proposed acquisition of gasoline marketing
division of independent oil company; performed due diligence relative to scores
of retail stations and a former refinery location; worked on related transactional
and securities matters.
Performed legal due diligence and supervised environmental due diligence and
environmental liability analysis for public offering by international company
operating 3,200 mile crude oil pipeline system in the United States.
Served as environmental counsel on acquisition of used oil recycling division
of a major oil company; consulted on due diligence of multiple facilities across
the Southeast U.S.; drafted, and participated in negotiation of, transactional

offering of company operating 4,100 mile interstate petroleum products pipeline

Represented trustee in bankruptcy in litigation and settlements with federal
and state governments arising out of closed petroleum refinery in Midwest and
subsequent sale of the refinery to investment group.
Served as environmental counsel to post-bankruptcy liquidating entity for disposition
of bus terminals and associated bus fueling stations in various parts of the United
States.
Served as environmental counsel to borrower on environmental permitting issues
for $400 million financing of proposed 1000 megawatt gas-fired powerplant. The
project entailed, among other things, regulatory issues relative to siting and
operation of natural gas and wastewater pipelines over substantial distances.
Provided advice and representation for, engaged in litigation over, or resolved
through settlement, matters arising out of leaking underground storage tanks in
a vast array of settings, including service stations, shopping centers, and industrial
facilities.

of the site and other current or former locations; planned and implemented (with
client and contractors) soil remediation projects at over 100 residential and
commercial properties.
Served as environmental and safety counsel to seller in sale of multi-state
solvent recycling operation, including related due diligence and transaction document
review.
Served as environmental and safety counsel to purchaser (and subsequently seller)
of safety equipment manufacturer, including related due diligence and transactional
support. Safety equipment manufacturer had been in operation in excess of 50 years
and produced, among other items, equipment which routinely had a useful life in
excess of 30 years.
Served as environmental counsel for two new chemical specialty manufacturing
facilities, from siting through facility design and purchase negotiations. Neither
facility was ultimately constructed for reasons unrelated to environmental matters.
Served as environmental counsel for four new solvent recycling facilities from
siting through design, construction and initiation of operation.
